Independent Contractor Lease-On Agreement

I. Equipment & Services

The Lessor hereby leases to the Lessee the following equipment and agrees to personally operate said equipment under the Lessee's Motor Carrier Authority:

III. Compensation & Dispatch Fees

3.1 Gross Revenue Split: For all transportation services performed under this Agreement, the Lessee shall retain a Service Fee of 8% of the gross shipment revenue (the "Rate").

3.2 Payment Schedule: The Lessor shall be paid for services rendered one (1) week following the successful completion and delivery of the load, provided that all necessary paperwork (BOL/POD) has been submitted.

3.3 Net Settlement: The remaining 92% shall be paid to the Lessor, subject to agreed deductions.

IV. Insurance Provisions & Premium Payments

4.1 Post-Execution Quote: Upon signing this Lease, the Lessee shall provide a separate Insurance Quote to the Lessor. This Agreement is contingent upon the Lessor's review and signature of said quote.

4.2 Driving Record & Premium Adjustment: Lessor must maintain a satisfactory driving record. The Lessee reserves the right to adjust insurance premiums at any time based on the Lessor's Motor Vehicle Record (MVR), accidents, or CSA points.

4.3 Payment Preference & Auto-Draft: The Lessor shall select a Monthly or Yearly payment frequency. The Lessor authorizes the Lessee to auto-draft the agreed premium from the bank account provided in the Insurance Quote paperwork.

V. Cargo Protections & Non-Abandonment

5.1 Prohibition of Abandonment: The Lessor shall not abandon a load or equipment. Abandonment is defined as leaving equipment or cargo at any unauthorized location.

5.2 Unauthorized Retention: The Lessor shall not withhold or refuse to deliver cargo or Bills of Lading due to a dispute. The Lessor waives any right to a possessory lien against the cargo.

5.3 Recovery Costs: Lessor is liable for all recovery costs (towing, storage, driver fees) in the event of abandonment.

VI. Exclusive Possession and Control

Pursuant to 49 CFR § 376.12(c)(1), the Lessee shall have exclusive possession, control, and use of the Equipment for the duration of this Lease.

VII. Required Compliance Documentation

The Lessor must submit the following documents simultaneously with this signed Agreement. Failure to provide valid copies will void the Agreement:

  1. Valid Driver's License (Front and Back).
  2. Current Motor Vehicle Record (MVR) (Dated within the last 30 days).
  3. Proof of Vehicle Registration (Current for leased equipment).
  4. Medical Examiner's Certificate (Med Card): Mandatory for all drivers operating equipment with a GVWR of 10,001 lbs. or more.
